Terms governing use of theuptimeexpert.com and the partner match service.

These Terms of Service govern your use of theuptimeexpert.com, including the editorial content, free tools, partner match service, and newsletter (collectively, "the Site"). The Site is operated by Vioneapp LLC, a Wyoming limited liability company.
By using the Site, you agree to these Terms. If you don't agree, please don't use the Site.
What we provide
The Uptime Expert is an independent editorial publication covering data center migration, decommissioning, colocation, AI infrastructure, and related topics. We also operate a vetted partner referral service that introduces readers to specialist providers in our network.
The editorial content and tools on the Site are free to read and use. The partner match service is free to readers.
What the tools do, and what they don't
The cost calculator, risk assessment, migration checklist, and any other tools on the Site are planning aids, not professional advice. They produce estimates and frameworks based on industry benchmarks and operator experience. They are intended to help you size a project, structure a conversation, or check your own thinking.
The tools are not a substitute for a real quote from a qualified vendor. They are not a substitute for legal, accounting, engineering, or compliance advice. They are not warranted to produce a number you can defend in front of an auditor or a court. Use them as a starting point. Confirm any number that matters to a decision with a qualified professional.
The estimates produced by the tools are ranges with uncertainty bands of approximately plus or minus 20 percent at the quick-estimate level. The actual cost or risk of your project can fall outside that range. We say this clearly inside the tools themselves and we say it again here.
Partner introductions
If you request a partner introduction, we share the information you submit with one or more specialist providers in our network. We try to match you with a partner we believe is a good fit, but we make no warranty that the partner will accept your project, agree to your timeline, or quote within your budget.
We earn a referral fee from partners when projects move forward. This commercial relationship does not change our editorial position, but you should know it exists. We disclose it on every page that mentions the partner network.
Once introduced, your relationship with the partner is independent. We are not party to your contract with the partner. We are not responsible for the partner's work, pricing, timeliness, or any other aspect of their service delivery. If you have a dispute with a partner, please tell us so we can evaluate the partner's continued inclusion in our network, but the dispute itself is between you and the partner.
Newsletter
If you subscribe to the newsletter, you'll receive periodic emails from us with editorial analysis. Frequency is typically weekly, but we may publish more or less often. You can unsubscribe at any time using the link at the bottom of any newsletter email.
Acceptable use
You agree to use the Site lawfully. You will not attempt to disrupt the Site, scrape it at a rate that interferes with normal operation, attempt to gain unauthorized access to any backend system, or submit false or misleading information through any form.
We reserve the right to refuse service to anyone for any lawful reason, including refusing partner introductions for projects we believe are outside our network's competence.
Intellectual property
The editorial content, tools, design, branding, and other materials on the Site are owned by Vioneapp LLC or licensed to us. You may read, share links to, and quote brief excerpts from the editorial content under fair use. You may not republish substantial portions of articles, copy the tools, or otherwise reproduce the Site's content for commercial purposes without our written permission.

Disclaimers
The Site and tools are provided "as is" without warranty of any kind, express or implied. We don't warrant that the Site will be uninterrupted, error-free, or available at any specific time. We don't warrant that the information on the Site is current, complete, or accurate, even though we work hard to make it so.
To the maximum extent permitted by law, Vioneapp LLC and its officers, employees, and contractors are not liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of the Site or reliance on its content.
Some jurisdictions don't allow certain disclaimers or limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
Indemnification
You agree to indemnify and hold harmless Vioneapp LLC from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your misuse of the Site, your violation of these Terms, or your violation of any rights of another party.
Governing law
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any disputes that cannot be resolved informally will be resolved in the state or federal courts located in Wyoming. You consent to that jurisdiction.
Changes
We may update these Terms from time to time. When we do, we'll update the "Last updated" date at the top. Continued use of the Site after changes constitutes acceptance of the updated Terms.
